In order to register Foreign Branches in Iran, the following documents are required:

1-     Application in writing;

2-     Certified copy of the company’s Articles of Association, public notice of its establishment, latest changes registered with the relevant authority abroad;

3-     The latest certified financial report of the company;

4-     Justification report containing:

A.          Information about activities of the company;

B.           Explanation of grounds and reasons that necessitate Branch registration in Iran;

C.          Determination of the intended type, authorities and place of the Branch;

D.          Estimation of the Iranian and foreign human resources required;

E.           Financial sources that the capital for administration of the branch comes from; 

5-     Reference from a governmental organization, in case it has a contract with it;

6-     Registration certificate of foreign company;

7-     Power of attorney;

8-     An Affidavit stating that in case competent authorities cancel their license, they will dissolve the Branch and nominate a liquidator within a time fixed by the “Office for Registration of Companies and Industrial Property”.

Note: All documents, mentioned above, must be duly certified and legalized up to the Iranian Consulate.
